TERMS AND CONDITIONS

These Terms and Conditions ("Terms") set out the legal agreement between you ("you" or "User") and Sapphire Virtual Networks Limited ("Sapphire", "we", "us" or "our") regarding your access to and use of our websites, platforms, services, and related offerings ("Services"). By using or accessing our Services, you agree to be legally bound by these Terms and our Privacy Policy.
If you do not agree with any part of these Terms, you must immediately discontinue your use of the Services.
1. ABOUT SAPPHIRE
Sapphire Virtual Networks Limited ("Sapphire") is a private limited liability company registered in Nigeria, specialising in the provision of technology-enabled financial solutions. These include device financing, energy credit, device protection plans, and salary-based microloans, all delivered through our digital platforms and authorised partner networks.
Sapphire operates in collaboration with licensed financial institutions, mobile network operators, device manufacturers, and retail partners. Where applicable, our role is as a technology enabler and facilitator, not as a direct lender or insurer.
2. ELIGIBILITY
2.1 You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services.
2.2 By accessing or using the Services, you warrant that you meet this eligibility requirement and that all personal or business information you provide is truthful, accurate, and complete.
2.3 Where identity or eligibility is verified using Bank Verification Number (BVN), government-issued ID, employment confirmation, or other means, you agree to cooperate fully and understand that access to Services may be denied or revoked if verification fails.
2.4 Sapphire reserves the right to refuse, suspend, or terminate access to any Service at any time if it has reason to believe that any eligibility criteria are not met or have been falsified.
3. ACCEPTANCE AND AMENDMENT OF TERMS
3.1 By accessing or using the Services, you confirm your acceptance of these Terms and agree to be legally bound by them.
3.2 We reserve the right to amend, modify, or update these Terms at our sole discretion. Any such changes shall become effective upon publication on our website or app.
3.3 Where changes are material, we will make reasonable efforts to notify you (e.g. via website notice, email, or account notification).
3.4 Your continued use of the Services after any amendments signifies your acceptance of the revised Terms.
3.5 You are responsible for reviewing the Terms regularly to stay informed of any updates.
4. OUR SERVICES
4.1 Device Financing
4.1.1 Flexible financing options for smartphones and tablets with a minimum 20% upfront deposit and repayment over 3 to 6 months. Eligibility is subject to BVN verification, income review, and other risk assessments. Sapphire reserves the right to approve or decline financing applications at its sole discretion. Interest charges and administrative fees may apply. Failure to make timely repayments may result in additional fees, service disruption, or remote device locking mechanisms.
4.2 Solar Financing
4.2.1 We offer flexible financing for solar energy systems, including panels, inverters, and batteries. Repayment terms may extend up to 12 months, with installation by authorised partners. Ownership of equipment may be retained by Sapphire or its partners until full payment is made. Defaulting on payment obligations may lead to repossession of equipment or service limitations.
4.3 Device Protection
4.3.1 Insurance coverage for eligible devices, providing protection against screen damage, liquid intrusion, and theft for a 12-month period. Coverage is subject to the terms and exclusions of third-party insurance providers. Claims must be submitted in accordance with the provider's procedures and may be denied for causes such as intentional damage, misuse, unauthorised repairs or loss of device due to negligence. Sapphire acts solely as an administrator and is not liable for claim decisions or service delays.
4.4 Payday Loans
4.4.1 We offer short-term salary-backed loans at fixed interest rates to eligible individuals. Repayment schedules are aligned with payroll cycles and may require integration with employer systems or direct debit authorisation. Loan approval is discretionary and subject to verification of income and employment status. Failure to repay may result in additional fees and legal or recovery action.
5. ACCOUNT AND USER RESPONSIBILITIES
Some Services may require registration or the creation of a user account. When registering, you agree to:
5.1 Provide only accurate, complete, and lawful information;
5.2 Maintain the confidentiality and security of your login credentials;
5.3 Immediately notify us of any known or suspected unauthorised access or security breach.
5.4 You are solely responsible for all activities conducted under your account. Sapphire shall not be liable for any loss or damage resulting from your failure to maintain the confidentiality of your account details.
5.5 You must not share your account with others, impersonate another person or entity, or create multiple accounts for dishonest purposes.
5.6 Sapphire reserves the right to suspend, restrict, or terminate your account or access to any Service without prior notice if:
5.7 You breach these Terms;
5.8 You provide false, misleading, or fraudulent information;
5.9 We suspect any unauthorised activity or misuse.
5.10 We reserve the right to request verification of your identity or eligibility at any time, particularly for services involving financing, insurance, or regulated transactions.
6. ACCEPTABLE USE
You agree to use the Services only for lawful and authorised purposes. You shall not:
6.1 Engage in any fraudulent, abusive, or illegal activity;
6.2 Access or attempt to access data not intended for you, or use any system or account without proper authorisation;
6.3 Introduce malware, viruses, or any other malicious code into the Services;
6.4 Interfere with or disrupt the integrity, performance, or security of our Services or servers;
6.5 Attempt to reverse engineer, copy, modify, scrape, or extract data from any portion of the Services;
6.6 Use bots, automated scripts, or similar technologies to interact with the platform unless expressly authorised;
6.7 Circumvent any security or authentication measures;
6.8 Violate any applicable law, regulation, or the rights of others, including data protection, copyright, or trademark laws.
Breach of this Article may result in suspension or termination of access, legal proceedings, and reporting to relevant authorities.
7. INTELLECTUAL PROPERTY
7.1 All content, features, functionality, software, logos, trade names, service marks, databases, layouts, graphics, and materials available through the Services ("Intellectual Property") are owned by Sapphire or licensed to Sapphire by third parties. All rights are reserved.
7.2 You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services strictly for your personal or internal business purposes, in accordance with these Terms.
7.3 You may not copy, reproduce, republish, upload, transmit, modify, sell, exploit, or distribute any part of the Services or Intellectual Property without our prior written permission. Any unauthorised use will constitute a breach of these Terms and may result in civil or criminal liability.
7.4 Any trademarks, logos, or brand names appearing in the Services, whether registered or not, are the property of Sapphire or third parties. Use of such marks without written authorisation is strictly prohibited.
7.5 If you submit or upload any content to the Services (including feedback, reviews, or documents), you grant Sapphire a non-exclusive, royalty-free, worldwide licence to use, reproduce, adapt, and display such content in connection with operating or improving the Services.
8. DATA PROTECTION AND SUBMISSIONS
8.1 Sapphire is committed to protecting your privacy and processes all personal data in accordance with the Nigeria Data Protection Regulation 2019 (NDPR) and other applicable laws.
8.2 By submitting personal data to us, whether via our websites, applications, or communication channels, you:
8.3 Represent and warrant that the information is accurate, complete, and lawfully yours to share;
8.4 Consent to the collection, use, processing, and storage of such data for the purposes of delivering services, customer support, account management, fraud prevention, analytics, and legal compliance;
8.5 Grant Sapphire a non-exclusive, royalty-free licence to use the data strictly for the purposes stated above;
8.6 Authorise us to retain your data for as long as reasonably necessary to fulfil legal, regulatory, or audit requirements.
8.7 If you submit personal data relating to another individual, you confirm that you have obtained their informed consent or have lawful authority to do so.
8.8 We implement appropriate technical and organisational measures to safeguard personal data against loss, misuse, unauthorised access, disclosure, or alteration.
8.9 You may exercise your rights under the NDPR, including rights to access, rectify, delete, or object to the processing of your data, by contacting us at info@sapphirevirtual.com
8.10 We may transfer personal data to data processors or partners in other jurisdictions, in which case we shall ensure adequate safeguards are in place in line with NDPR requirements.
9. COOKIES AND TRACKING
9.1 Our Services use cookies and similar technologies (e.g. web beacons, device identifiers) to improve functionality, analyse traffic, personalise content, and enhance user experience.
9.2 Cookies may be placed by us or by authorised third parties (e.g. analytics providers). These may include:

10. THIRD-PARTY SERVICES
10.1 Our Services may contain links to, or integrate with, third-party websites, tools, products, or services ("Third-Party Services"), including but not limited to insurers, financiers, payment processors, device partners, and analytics providers.
10.2 Sapphire does not own, control, or operate these Third-Party Services and is not responsible for their content, policies, practices, or any loss or damage arising from their use. Your access and use of any Third-Party Service is entirely at your own risk and subject to the terms and conditions and privacy policies of the respective providers.
10.3 Where a Service requires or enables data to be shared with a third-party provider, you authorise Sapphire to transmit such data as necessary to facilitate the transaction or integration. We are not responsible for how such third parties process your data once shared.
10.4 The inclusion of any Third-Party Service does not imply endorsement by Sapphire unless explicitly stated.
11. SERVICE AVAILABILITY AND MODIFICATION
11.1 We reserve the right to update, enhance, modify, suspend, restrict, or permanently discontinue any aspect of the Services, including content, features, pricing, or availability, at any time and for any reason.
11.2 While we aim to provide notice of significant changes where reasonably practicable (e.g., by email or in-app notifications), we are not obliged to do so in all cases.
11.3 You acknowledge that from time to time the Services may be unavailable due to scheduled maintenance, upgrades, technical errors, system overload, or force majeure events.
11.4 Sapphire shall not be liable to you or any third party for any loss, inconvenience, or damages resulting from any modification, suspension, or discontinuation of the Services.
12. LIMITATION OF LIABILITY
12.1 To the fullest extent permitted by applicable law, Sapphire, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, punitive, exemplary, special, or consequential damages whatsoever, including but not limited to loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to:
12.2 Your access to, use of, or inability to access or use the Services;
12.3 Delays, disruptions, or errors in the Services;
12.4 Any third-party content, services, or conduct;
12.5 Any unauthorised access to or alteration of your data.
12.6 In no event shall Sapphire's total cumulative liability to you for all claims related to any Service exceed the total amount you have paid (if any) for that Service in the 12-month period preceding the claim.
12.7 Nothing in these Terms shall exclude or limit our liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be lawfully excluded under the laws of the Federal Republic of Nigeria.
13. INDEMNITY
You agree to indemnify, defend, and hold harmless Sapphire Virtual Networks Limited, its affiliates, directors, officers, employees, agents, and service providers from and against any claims, demands, damages, liabilities, losses, costs, or expenses (including reasonable legal and professional fees) arising out of or related to:
13.1 Your use or misuse of the Services;
13.2 Your breach of these Terms or any applicable law or regulation;
13.3 Any content, data, or information you provide that infringes the rights of any third party.
This indemnity shall survive the termination of these Terms and your use of the Services. It shall not apply to the extent that any such claims arise from the gross negligence, fraud, or wilful misconduct of Sapphire or its representatives.
14. TERMINATION
14.1 We may, at our sole discretion, suspend or permanently terminate your access to the Services, without prior notice, if we reasonably believe that:
14.2 You have violated these Terms or any applicable law or regulation;
14.3 You have engaged in fraud, misuse, or unauthorised access;
14.4 Continued access would present a risk to Sapphire, its partners, or other users.
14.5 Termination may be temporary (suspension) or permanent, depending on the nature of the breach. We reserve the right to investigate suspected misconduct prior to taking action.
14.6 Upon termination, all rights granted to you under these Terms shall immediately cease. You remain responsible for any outstanding obligations or payments due prior to the date of termination.
14.7 We may retain your personal or transactional data as required for legal compliance, internal auditing, fraud prevention, or dispute resolution, in line with our Privacy Policy and applicable law.
15. GOVERNING LAW AND JURISDICTION
15.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
15.2 You irrevocably agree that the courts of Nigeria shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter. Where applicable, the competent courts of Lagos State shall serve as the venue for legal proceedings.
15.3 We reserve the right, but not the obligation, to seek interim or injunctive relief in any other jurisdiction if necessary to protect our rights.
16. ENTIRE AGREEMENT
16.1 These Terms, together with our Privacy Policy and any applicable service-specific documentation (including product disclosures, consent forms, or supplemental agreements), constitute the entire agreement between you and Sapphire with respect to your use of the Services.
16.2 They supersede all prior or contemporaneous communications, representations, proposals, or agreements---whether oral or written---relating to the subject matter.
16.3 No waiver, modification, or amendment of these Terms shall be effective unless made in writing and authorised by Sapphire.
